Capgemini to acquire WNS for $3.3 billion, to scale AI-led services

Mumbai: Global technology and consulting leader Capgemini to acquire WNS for $3.3 billion all cash deal. Capgemin has signed a definitive agreement to acquire WNS, a NYSE-listed provider of digital business process services, in a $3.3 billion all-cash deal, according to a company statement.

The move positions Capgemini to accelerate its strategy in AI-enabled business transformation, particularly as demand for Agentic AI and Gen AI reshapes enterprise operations.

Under the agreement, Capgemini will pay $76.50 per share, representing a 28% premium to WNS’s 90-day average and 17% over its July 3 closing price. Boards of Directors from both the companies have unanimoulsy approved the transcation. The deal is expected to close in the second half of 2025, subject to regulatory approvals.

“Enterprises are rapidly adopting Generative AI and Agentic AI to transform their operations end-to-end. Business Process Services will be the showcase for Agentic AI,” said Aiman Ezzat, CEO of Capgemini.

“Capgemini’s acquisition of WNS will provide the Group with the scale and vertical sector expertise to capture that rapidly emerging strategic opportunity created by the paradigm shift from traditional BPS to Agentic AI-powered Intelligent Operations,” added Ezzat.

Strategic Value: AI-Driven BPS at Scale
WNS, headquartered in India, has built a strong reputation in Digital Business Process Services (BPS) with a vertical-specific focus across eight industries, including banking, insurance, travel, and utilities. It brings long-term contracts, platform-driven service models, and a global delivery footprint to the Capgemini portfolio.

The deal expands Capgemini’s presence in North America, boosts its consulting-plus-operations capabilities, and provides immediate cross-sell potential across complementary client bases.

Financial Highlights and Outlook
Capgemini expects the acquisition to be EPS accretive by 4% in 2026, and by 7% in 2027 post-synergies. The integration of WNS is expected to accelerate Capgemini’s growth in Intelligent Operations, a segment increasingly viewed as strategic for enterprise efficiency and agility.

The combined capabilities will allow Capgemini to address a growing demand for domain-led, AI-powered BPS, helping clients move from legacy systems to fully autonomous operating models.
